Terms of Service for Pacely

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and the provider of Pacely ("Pacely," "we," "our," or "us") and govern your use of the Pacely mobile application, the getpacely.com website, and any related features or services (together, the "Service").

By downloading, installing, or using Pacely, you confirm that you have read and accepted these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

If you use Pacely on behalf of an organization, you confirm that you have authority to accept these Terms on its behalf.

2. Eligibility

You must be at least 13 years old to use Pacely (16 in the European Economic Area, or the minimum age required by the laws of your country, whichever is higher). If you are a minor under the law of your country, you may only use the Service with the consent of a parent or legal guardian, who accepts these Terms on your behalf.

We do not knowingly allow accounts for users below these ages. If we learn that we have one, we will delete it.

3. What Pacely Is

Pacely is a personal habit-tracking application. You create habits, record check-ins or quantitative values, and the app calculates figures about your own behaviour — consistency scores, streaks, trends, group comparisons, monthly recaps, and similar insights.

Pacely works locally on your device by default. Creating an account is optional and enables cloud backup and synchronization across devices. Everything the app shows you is derived from records you entered yourself.

4. Not Medical, Health, or Professional Advice

Pacely is a self-tracking tool, not a healthcare product. Scores, streaks, insights, recaps, and any other output of the Service are informational only. They are not medical, psychological, nutritional, fitness, financial, or professional advice, and they are not a diagnosis, treatment, or prescription.

Never disregard professional advice, delay seeking it, or change medication, treatment, diet, or exercise because of something the app displayed. If you have or suspect a medical or mental-health condition, consult a qualified professional. In an emergency, contact your local emergency services.

You are solely responsible for the habits you choose to track and for any decision you make based on what you see in the Service.

5. Your Account

An account is optional. If you create one — with an email address, or by signing in with Google or Facebook — you agree to:

You may delete your account at any time from inside the app (Settings → Delete Account). Deletion is permanent: it removes your cloud data and your login, and clears the data stored on the device. See the Privacy Policy for what deletion covers and what may be retained.

6. Your Content and Your Data

The habits, group names, descriptions, notes, values, and records you enter are yours. We claim no ownership over them.

You grant us only the limited, non-exclusive, worldwide, royalty-free licence needed to operate the Service for you: to store your content, transmit it between your devices, back it up, and display it back to you. This licence exists solely so the app can function, ends when you delete the content or your account, and does not allow us to publish your content, sell it, or use it to advertise to you.

6.1 Backups Are Your Responsibility

Pacely is local-first. Data stored only on your device can be lost if you uninstall the app, clear its storage, lose the device, or if the device fails. Cloud backup reduces that risk but is not a guarantee.

The app includes an export function (Settings → Export Data) that produces a complete copy of your data as a JSON file. We strongly recommend exporting periodically. To the extent permitted by law, we are not liable for data loss, and you accept that maintaining your own backups is your responsibility.

6.2 Content You Choose to Share

Pacely can generate a monthly recap image that you may share through your device's share menu. Sharing is always initiated by you. Once you send that image to another app or service, it is governed by that service's terms and privacy policy, not by ours; we cannot recall it and have no control over how it is stored or redistributed. Consider this before posting a recap publicly.

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use Pacely on devices you own or control, for your own non-commercial use.

All rights not expressly granted are reserved. The Pacely name, logo, interface, design, text, and software are protected by intellectual property laws and remain our property or that of our licensors. This licence does not transfer any of those rights to you.

9. Free and Paid Features

9.1 The Free Version

Pacely offers a free version. We may offer paid features, subscriptions, or one-time purchases ("Pacely Pro") that unlock additional functionality. Which features are free and which are paid is described inside the app and may change over time as described in Section 9.8.

9.2 Purchases Are Processed by Google Play

All purchases made in the Android app are processed by Google Play Billing. Google is the seller of record for those transactions. We never receive or store your card number or other payment credentials.

Your purchase is therefore also subject to the Google Play Terms of Service. Where those terms grant you rights regarding billing, refunds, or cancellation, they apply in addition to these Terms.

Where paid features are offered, we use RevenueCat, Inc. to verify purchases with the store and to keep track of which entitlements are active on your account. Our Privacy Policy describes the subscription data this involves, and is updated before any such processing begins.

9.3 Prices, Billing, and Automatic Renewal

Prices, billing periods, and any introductory or trial offers are shown in the app before you confirm a purchase, in your local currency and including applicable taxes where required. The price shown at the moment of purchase is the price that applies to that purchase.

Unless stated otherwise for the specific plan:

9.4 Free Trials

If we offer a free trial, its duration and conditions are shown before you start it. Unless you cancel before the trial ends, the subscription begins automatically and the applicable price is charged. Trials are generally limited to one per user or per Google account and may be withdrawn or changed for future subscribers. Cancelling during a trial keeps access until the trial period ends.

9.5 Cancelling

You can cancel a subscription at any time in your Google Play account: Play Store → Profile → Payments & subscriptions → Subscriptions, or through the link provided in the app's settings. Deleting the app does not cancel a subscription.

Cancellation stops future renewals. You keep paid access until the end of the period you already paid for, and it does not, by itself, entitle you to a refund of that period.

9.6 Refunds

Because Google Play processes the payment, refunds are handled under Google's refund policy, and requests should be made to Google Play. We can assist and will forward requests where we can, but we cannot issue a refund for a transaction we did not process.

Nothing here limits statutory rights you may have. In particular, consumers in Brazil retain their rights under the Código de Defesa do Consumidor, including the seven-day right of withdrawal for distance purchases (art. 49), and consumers in the European Union and United Kingdom retain their statutory withdrawal rights, subject to the applicable exceptions for digital content whose supply has begun with your consent.

9.7 Restoring Purchases

If you reinstall the app or change devices, use "Restore Purchases" in the app while signed in to the same Google account used for the purchase. If you also have a Pacely account, sign in so the entitlement follows your account rather than the device.

9.8 Changes to Plans, Prices, and What Is Free

We may change prices, introduce new plans, and adjust which features are free and which require Pacely Pro. For an existing subscription, a price increase takes effect only in a renewal period after we have given you notice, in accordance with Google Play's requirements, and you may cancel before it takes effect rather than accept it.

If a feature you use becomes paid. If we move an existing feature behind Pacely Pro, we will not delete data you already created with it. Your records remain in your account and in your export file, and you can continue to read them and export them even if the feature that produced them becomes read-only for free users.

9.9 What Happens When Paid Access Ends

When a subscription expires or is cancelled, paid features stop being available and the app returns to the free version. Your data is not deleted: habits, records, and history that exceed free limits remain stored, remain included in your export, and become available again if you subscribe later. Where a limit applies, existing content above it is retained in a read-only state rather than removed.

9.10 No Refund for Withdrawn Features

We may discontinue individual features. If we permanently remove a feature that was a material part of what you paid for, and you have an active paid period, contact us — we will assess a proportional remedy in good faith. Minor changes, redesigns, and improvements do not trigger this.

10. Third-Party Services

Pacely relies on services operated by others, including Google Play (distribution and, where paid features are offered, billing), Supabase (authentication, database, cloud storage), Google Firebase (analytics), RevenueCat (purchase validation, where paid features are offered), and, if you use them, Google and Facebook sign-in. Your use of the Service also involves those providers, each under its own terms and privacy policy. We are not responsible for their acts, outages, or decisions, and an interruption caused by one of them may interrupt part of the Service.

11. Availability, Updates, and Changes to the Service

We work to keep Pacely available and reliable, but we do not promise uninterrupted or error-free operation. The Service may be unavailable for maintenance, updates, provider outages, or reasons outside our control.

We may add, modify, or remove features, and may release updates that are required for the app to keep working. Some features may be offered as beta or experimental; these may be incomplete, may change, and may be withdrawn.

12. Termination

By you: you may stop using Pacely at any time, delete the app, and delete your account from within it.

By us: we may suspend or terminate your access if you materially breach these Terms — in particular Section 7 — or if we are required to do so by law. Where reasonable and lawful, we will give you notice and a chance to correct the problem first.

If we terminate your account other than for your breach, and you had paid for a period not yet used, we will refund the unused portion where the law requires it or where it is fair to do so. On termination, Sections 6, 8, 13, 14, 15, 16, and 17 survive.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Service will meet your requirements, that it will be uninterrupted, secure, or error-free, that calculations and insights will be accurate or suitable for any purpose, or that data will never be lost.

Some jurisdictions do not allow the exclusion of implied warranties. In those places, this section applies only to the extent permitted, and mandatory consumer protections — including those of the Brazilian Código de Defesa do Consumidor — are not affected.

14. Limitation of Liability

To the maximum extent permitted by applicable law:

These limits apply regardless of the legal theory and even if we were advised of the possibility of such damages. They do not apply to liability that cannot be excluded by law, including fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory consumer rights in your jurisdiction.

15. Indemnity

You agree to indemnify and hold us harmless from claims, damages, liabilities, and reasonable costs arising from your unlawful use of the Service, your breach of these Terms, or your violation of the rights of a third party. This does not apply to consumers to the extent such an obligation is invalid under applicable consumer law.

16. Changes to These Terms

We may update these Terms to reflect changes in the Service, in our business model, or in the law. When we do, we will update the "Last Updated" date and publish the revised Terms at this address.

For material changes — in particular changes affecting price, paid features, or your rights — we will give reasonable advance notice, in the app or by email if you have given us one, before they take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not accept the new Terms, stop using the Service and, if you have a subscription, cancel it before the change takes effect.

17. Governing Law and Disputes

These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law rules.

If you are a consumer, you keep the protection of the mandatory laws of your country of residence, and nothing here deprives you of the right to bring proceedings in the courts of that country. Brazilian consumers may bring an action in the court of their own domicile, as provided by the Código de Defesa do Consumidor.

For all other disputes, the courts of Brazil have exclusive jurisdiction.
